In your name or a holding company: the decision that comes before the keys
Buying in your own name or through a holding company changes tax, succession and the protection of your estate. As a lawyer and advisor, I show why this choice comes before even choosing the property.
There is a question I ask whoever is going to buy in the high end before we speak of neighborhood or square footage: in whose name will this property be? It sounds like a notary detail. It is not. It is one of the decisions that most affects the total cost, the succession and the protection of your estate, and it comes before choosing the property, not after.
The simple path, and what it charges later
Buying as an individual is the direct path: less formality, less structure cost, the name on the title. For someone buying the home they will live in and intending to keep it, it is often enough. But it charges at two moments the buyer rarely sees on the day of the joy. At resale, the capital gain is taxed. And in succession, the property goes through probate, with the time, the cost and the exposure that probate brings. A house in Vila Nova Conceição passing through generations by the simplest route may cost the family, further ahead, more than was imagined.
When the holding company makes sense
The estate-holding company exists precisely to handle this in advance. Placing the property, or several, under a corporate structure can organize succession while you are alive, through the donation of shares with reserved usufruct, shield the estate from certain risks, and give predictability to what, in the individual’s name, would be left for probate to resolve. For someone with volume, family and a long horizon, it is usually a conversation well worth having.
Why it is not a recipe
What I do not do, and recommend no one do, is set up a holding company just because they heard it “saves tax”. The structure has setup and maintenance costs, has formalities, and the math does not always come out in favor. There are taxes when contributing the property, there are situations in which the individual comes out ahead, and there are families for whom simplicity is worth more than optimization. The right answer depends on the goal, whether it is housing, investment or succession, on the size of the estate and on who the heirs are. It is a decision for a lawyer and accountant looking at your whole case, never a sales argument.
What the structure protects beyond tax
Reducing the holding-company conversation to tax is to miss half its value. The structure organizes what usually becomes conflict: who administers the estate, how it is divided among heirs, what happens if one of them wants to sell their share and the others do not. In a family with more than one property and more than one heir, defining these rules while alive, on paper, keeps them from being decided at the worst moment, that of probate, with the family in mourning and the notary in the middle. There is also asset protection, within the limits of the law. None of this is automatic, and none of it replaces good succession planning; the holding company is the tool, not the strategy. But, well used, it turns inheritance into transition, and transition is always cheaper, and calmer, than dispute.
The right time to decide
The most expensive mistake I see is leaving this choice for later. Buying in your own name and, years later, wanting to transfer it to a holding company often means paying tax again on what was already yours. Deciding the structure before the purchase, while there is still room to design everything the right way, is what separates a real saving from a costly regret.
That is why, in the high end, the tax and succession decision walks alongside the choice of the property, and not behind it. My role as an advisor is to raise this question while it is still cheap to answer, so that the most important decision of your estate is whole, and not only beautiful. High-end wealth deserves that wholeness: thought out not only for today’s keys, but for the hands that will receive it tomorrow.
